    These Terms & Conditions ("Terms") govern your use of the website and services provided by A&W Studio's ("we," "us," "our," or "Company"). By purchasing our services, using our website, or entering into an agreement with us, you ("Client," "you," or "your") agree to these Terms.

    If you do not agree with these Terms, please do not purchase or use our services.

    1. Our Services

    A&W Studio's provides website design, website development, hosting, domain management, technical support, search engine optimization ("SEO"), website maintenance, and related digital services.

    The exact services included in your purchase will depend on the package or service selected at the time of purchase.

    Services may include, but are not limited to:

    • Website design and development
    • Website hosting
    • Domain setup and management
    • SSL/security configuration
    • Website maintenance
    • Technical support
    • Search engine optimization
    • Google Search and indexing setup
    • Analytics setup
    • Content updates
    • Website performance optimization
    • Local SEO support
    • Google Business Profile assistance

    We reserve the right to modify, add, or discontinue services at any time. Any material changes to an existing paid service will be communicated to affected clients when reasonably possible.

    2. Website Packages & Pricing

    Our website packages are offered at the prices displayed on our website or otherwise agreed upon in writing with the Client.

    Unless otherwise stated, website development fees are separate from recurring hosting, maintenance, support, or SEO fees.

    Package features, page limits, revision limits, delivery times, and other inclusions are determined by the package purchased.

    Additional services or work outside the scope of the purchased package may result in additional charges. We will communicate the additional cost before beginning substantial out-of-scope work.

    3. Payments

    Payment is required according to the payment terms presented at checkout or agreed upon between A&W Studio's and the Client.

    For one-time website projects, work may not begin until the required payment has been received.

    Recurring services, including hosting, maintenance, support, or SEO subscriptions, are billed according to the billing schedule selected by the Client.

    The Client authorizes A&W Studio's or its payment processor to charge the applicable payment method for recurring services until the subscription is canceled.

    If a payment fails or becomes overdue, we may temporarily suspend services until the outstanding balance is resolved.

    4. Recurring Services

    Some services may require a recurring monthly payment.

    Recurring services may include:

    • Website hosting
    • Domain management
    • Website maintenance
    • Technical support
    • SEO services
    • Website updates
    • Other subscription-based services

    Recurring subscriptions will automatically renew according to the billing period selected by the Client unless canceled.

    Clients may cancel recurring services according to the cancellation procedure described on our website or by contacting us directly.

    Cancellation does not automatically entitle the Client to a refund for a billing period that has already begun.

    5. Website Development & Client Responsibilities

    To complete a website project, the Client may be required to provide information, content, images, branding materials, login credentials, business information, and other materials.

    The Client is responsible for providing accurate and complete information in a timely manner.

    Delays in providing required materials, approvals, or feedback may delay the website's completion date.

    We are not responsible for delays caused by:

    • Late client responses
    • Missing content or information
    • Changes requested by the Client
    • Third-party services
    • Domain providers
    • Hosting providers
    • Payment processors
    • Platform outages
    • Circumstances beyond our reasonable control

    6. Content & Client Materials

    The Client is responsible for ensuring that all text, images, logos, videos, trademarks, business information, and other materials supplied to A&W Studio's may legally be used.

    The Client represents that they have the necessary rights, licenses, and permissions to use materials they provide.

    The Client agrees not to provide content that is illegal, fraudulent, defamatory, infringing, deceptive, or otherwise unlawful.

    A&W Studio's is not responsible for legal claims arising from materials supplied by the Client.

    7. Revisions

    Website packages may include a specified number of revisions.

    A "revision" generally means a reasonable change to existing content, layout, or design.

    Requests for substantial redesigns, new pages, new functionality, new branding, or work outside the original project scope may be considered additional work and may incur additional fees.

    Unused revisions have no cash value and cannot be transferred or refunded.

    8. Website Ownership

    Unless otherwise agreed in writing, upon full payment of all applicable website development fees, the Client will own the final website content and design created specifically for the Client, subject to any third-party software, templates, fonts, plugins, stock assets, or other materials that are licensed rather than owned.

    Third-party software and services remain subject to their respective licenses and terms.

    A&W Studio's retains ownership of its pre-existing tools, systems, processes, templates, code libraries, frameworks, methods, and other materials developed independently of the Client project.

    If a Client's account or recurring service is canceled, website hosting and maintenance services may end according to the applicable subscription terms.

    9. Domain Names

    Domain names may be purchased, registered, or managed on behalf of the Client.

    Unless otherwise agreed, the Client is the ultimate owner of the domain registration.

    Domain availability cannot be guaranteed.

    Domain registration and renewal fees are subject to the pricing and policies of the applicable domain registrar.

    A&W Studio's is not responsible for the loss, expiration, suspension, or transfer of a domain caused by inaccurate information, failure to pay renewal fees, registrar issues, or actions taken by the Client.

    10. Hosting

    Where hosting is included as part of a recurring service, A&W Studio's will provide or arrange hosting for the Client's website.

    Hosting availability depends partly on third-party infrastructure and providers.

    We do not guarantee that hosting will be uninterrupted, error-free, or available 100% of the time.

    We may temporarily suspend hosting or access when reasonably necessary for security, maintenance, non-payment, violation of these Terms, or other legitimate business reasons.

    11. Technical Support

    Technical support included with a package is intended for reasonable assistance with the website and services provided by A&W Studio's.

    Support does not necessarily include:

    • Computer repair
    • Internet service troubleshooting
    • Third-party software support
    • Social media management
    • Hardware support
    • Extensive content creation
    • Major website redesigns
    • New functionality
    • Services outside the purchased package

    Requests outside the scope of included support may be billed separately.

    Response times are not guaranteed unless a specific response-time commitment has been purchased or agreed upon in writing.

    12. SEO Services

    A&W Studio's may provide SEO setup, optimization, monitoring, and related services.

    SEO services are intended to improve a website's technical and search-engine visibility.

    We do not guarantee specific search engine rankings, traffic levels, leads, sales, or revenue.

    Search engines, including Google and Bing, independently determine rankings and may change their algorithms, policies, and ranking systems at any time.

    SEO results may vary depending on the Client's industry, competition, location, website history, content, search demand, and numerous other factors outside our control.

    Any statements regarding potential SEO performance are estimates or goals and should not be interpreted as guarantees.

    13. Google & Third-Party Services

    Our services may involve third-party platforms and services such as:

    • Google
    • Google Search
    • Google Analytics
    • Google Business Profile
    • Domain registrars
    • Hosting providers
    • Payment processors
    • Website platforms
    • Plugins and other software

    These services are operated independently of A&W Studio's and may have their own terms, policies, pricing, limitations, or outages.

    We cannot guarantee the continued availability, functionality, or policies of third-party services.

    14. Website Launch & Approval

    Before launching a website, the Client may be given an opportunity to review the website and request included revisions.

    Once the Client approves the website, or once the website is launched with the Client's authorization, the project may be considered complete.

    Additional changes requested after completion may be subject to additional fees.

    15. Refunds

    Because website development involves time, labor, design, development, and other resources, payments for completed work are generally non-refundable.

    If you believe you are entitled to a refund, please contact us and we will review the circumstances.

    Recurring subscriptions may be canceled before the next billing cycle. Cancellation generally does not result in a refund for a billing period that has already been charged.

    Any refund policy specifically displayed at checkout or included in a written agreement with the Client will control where applicable.

    16. Cancellation & Suspension

    We reserve the right to suspend or terminate services if:

    • Payments remain unpaid
    • The Client violates these Terms
    • The Client uses the services for unlawful activity
    • The Client provides fraudulent or abusive information
    • Continued service creates a security or legal risk
    • The Client engages in abusive or threatening behavior toward our staff or representatives

    Where reasonably possible, we will provide notice before terminating services.

    Upon termination, the Client remains responsible for unpaid amounts incurred before termination.

    17. Acceptable Use

    The Client agrees not to use websites or services provided by A&W Studio's for unlawful purposes.

    Prohibited activities include, but are not limited to:

    • Fraud
    • Phishing
    • Malware distribution
    • Illegal activities
    • Copyright infringement
    • Trademark infringement
    • Harassment
    • Deceptive practices
    • Distribution of malicious software
    • Activities intended to damage or disrupt networks or systems

    We reserve the right to suspend services involving prohibited activity.

    18. Intellectual Property

    All trademarks, logos, brand names, software, systems, designs, and materials belonging to A&W Studio's remain the property of their respective owners.

    Client-provided materials remain the property of the Client or their respective owners.

    Third-party materials remain subject to their applicable licenses.

    The Client grants A&W Studio's permission to use Client-provided materials solely as reasonably necessary to provide the contracted services.

    19. Portfolio & Marketing Use

    Unless the Client requests otherwise in writing, A&W Studio's may display completed websites or portions of completed projects in its portfolio, website, social media, advertising, or other promotional materials.

    If you do not want your website or business name used in our portfolio, you may contact us to request that we not use it for promotional purposes.

    20. Privacy

    Your use of our website and services may involve the collection and processing of information.

    Please review our Privacy Policy for information regarding how we collect, use, store, and protect personal information.

    21. Disclaimer of Warranties

    Our services are provided on an "as available" and "as is" basis to the extent permitted by law.

    We do not guarantee that:

    • A website will be completely error-free
    • A website will always be available
    • A website will never experience downtime
    • Search engines will index a website
    • A website will achieve a specific ranking
    • A website will generate a specific number of visitors, leads, customers, or sales
    • Third-party services will remain available
    • A website will be completely secure against all possible threats

    We will make reasonable efforts to provide reliable services and address issues within our control.

    22. Limitation of Liability

    To the maximum extent permitted by applicable law, A&W Studio's and its owners, employees, contractors, and service providers will not be liable for indirect, incidental, consequential, special, or punitive damages arising from the use of our services.

    To the maximum extent permitted by law, our total liability relating to a service will not exceed the amount actually paid by the Client to A&W Studio's for that service during the [three/six/twelve] months preceding the event giving rise to the claim.

    Nothing in these Terms is intended to exclude liability that cannot legally be excluded under applicable law.

    23. Indemnification

    To the extent permitted by law, the Client agrees to indemnify and hold harmless A&W Studio's, its owners, employees, contractors, and representatives from claims, damages, losses, liabilities, and expenses arising from:

    • Materials supplied by the Client
    • Client's violation of these Terms
    • Client's violation of applicable laws
    • Client's misuse of the services
    • Client's infringement of another party's rights

    24. Force Majeure

    We will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, internet outages, hosting failures, cyberattacks, government actions, labor disputes, platform outages, or other unforeseen circumstances.

    25. Changes to These Terms

    We may update these Terms from time to time.

    The updated version will be posted on this website with a revised "Last Updated" date.

    Your continued use of our services after changes become effective constitutes acceptance of the updated Terms to the extent permitted by law.

    26. Governing Law

    These Terms will be governed by the laws of the State of Mississippi, without regard to its conflict-of-law principles.

    Any disputes will be handled in the appropriate courts located in [Marion County/Mississippi], unless otherwise required by applicable law.

    27. Severability

    If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

    28. Entire Agreement

    These Terms, together with any applicable order, proposal, service agreement, or written agreement between A&W Studio's and the Client, constitute the agreement between the parties regarding the applicable services.

    If a written agreement specifically signed by both parties conflicts with these Terms, the signed agreement will control to the extent of the conflict.
